Seller Agreement

1) Parties & Contact

This Seller Agreement (“Agreement”) is between StockDokan (“we”, “us”, “our”) and the individual or entity registering as a seller (“Seller”, “you”).

2) Eligibility & Verification

• You must be legally able to contract and comply with applicable laws and sanctions/export controls.
• We may require identity, tax/KYC, and payment verification; failure to provide accurate info may delay or block payouts.
• Accounts may be limited by region, risk, or compliance requirements.

4) Ownership, Rights & License to StockDokan

You retain ownership of your items. By uploading, you grant StockDokan a worldwide, non-exclusive, royalty-free license to host, cache, index, reproduce, display, promote, sample, distribute, and otherwise use the items and related metadata for operating and marketing the marketplace, and to enable downloads/sales to buyers under the item license selected.

You warrant that you have all necessary rights to grant this license and that your items and metadata do not infringe any third-party rights.

5) License Models Offered to Buyers

Unless otherwise stated on the item page, buyers may choose from our License & Usage plans (e.g., Standard vs Extended). If you attach a custom license (e.g., GPL/MIT for code), that license must be clearly stated and will control for that item.

6) Prohibited & Restricted Content

• Pirated or unauthorized material; third-party stock re-uploads; scraped/AI-training datasets unless expressly allowed.
• Logos/trademarks without authorization; items implying endorsement by brands or individuals.
• Adult/NSFW, hate/violence, discriminatory or unlawful content; malware or harmful code.
• Misleading metadata, keyword stuffing, or spam uploads; duplicates “as-is”.
• Sanctioned/embargoed entities or destinations; export-controlled materials in violation of law.

7) Review, Approval & Removal

All items are subject to review. We may approve, reject, hide, or remove items at any time for quality, legal, or policy reasons. We may edit minor metadata for consistency. We may limit categories, features, or promotional placement at our discretion.

8) Pricing, Discounts & Exclusivity

• Prices may be set by StockDokan and/or by you within permitted ranges; we may run discounts or bundles.
• Exclusivity: Unless expressly agreed in writing, uploads are non-exclusive. Exclusive programs (if offered) will have separate terms.
• You agree not to use deceptive pricing or artificially inflate original prices to simulate discounts.

9) Fees, Payouts & Taxes

These are illustrative. See your dashboard for the current fee schedule applicable to your account.

• Payouts: typically monthly with a minimum threshold; timing may vary by method (e.g., PayPal, bank transfer).
• Taxes: You are responsible for reporting/obligations in your jurisdiction. We may collect tax info and withhold where required.
• Compliance holds: We may hold earnings if transactions are under review for fraud, IP claims, or chargebacks.

10) Refunds, Chargebacks & Reversals

Digital sales are generally non-refundable. In cases of duplicate charges, corrupted files, fraud, or policy-based decisions, we may issue refunds. Chargebacks or reversals reduce your earnings; negative balances may be offset against future payouts.

11) IP Claims, DMCA & Repeat Infringers

We process copyright complaints per our DMCA & Copyright Policy. We may remove items upon credible notice and suspend repeat infringers. Provide counter-notices where appropriate. Cooperation during investigations is required.

12) Security, Malware & Safety

• Uploads must be free of malware or harmful code. We may scan and remove suspicious files.
• No hidden trackers, license keys, or third-party assets without disclosure and permission.
• For SVG/HTML/code, follow best practices to avoid XSS or insecure dependencies.

13) Data Protection & Confidentiality

You must handle any buyer or project data lawfully and securely. Do not include personal data in files unless strictly necessary and lawful. Our handling of data is described in the Privacy Policy and Cookie Policy.

14) Suspension & Termination

We may suspend or terminate your seller account or remove items for policy breaches, legal risk, or harm to users. You may close your account at any time. We may retain transactional records as required by law.

15) Governing Law & Disputes

This Agreement is governed by the laws of the State of California, USA. Courts in Orange County, California have exclusive jurisdiction, subject to any mandatory consumer protections in your country.

16) Changes to this Agreement

We may update this Agreement. We will revise the “Last updated” date and, where appropriate, notify you via the site or email. Continued use of seller tools after changes constitutes acceptance.
